New Mexico LLC Fees: The Full 2026 Breakdown

New Mexico charges $50 to create an LLC and then, remarkably, nothing on a recurring basis. This page lists every state fee an LLC owner here actually encounters, plus our own service pricing, so you can budget the whole thing on one screen.

The Formation Fee

The Articles of Organization fee is $50, fixed by NMSA 1978, § 53-19-63(A). It is paid once, by card, when you submit the online application through the Secretary of State's enterprise portal. All business filings in New Mexico are online only; the SOS no longer accepts paper applications, so there is no separate mail-in fee schedule to worry about.

Recurring State Fees: There Aren't Any

New Mexico LLCs file no annual report and no biennial report. The Limited Liability Company Act (NMSA 1978, Ch. 53, Art. 19) simply contains no periodic-report requirement, so there is no report fee, ever. Corporations in this state do file a biennial report, which is why you sometimes see the requirement misattributed to LLCs. It does not apply to you.

Taxes are a separate matter. An active business typically registers with the New Mexico Taxation and Revenue Department for gross receipts tax and files returns on that department's schedule. Those are tax filings with their own rules, not Secretary of State fees, and what you owe depends on your receipts rather than a flat annual charge.

The agent-change fee is set by NMSA 1978, § 53-19-63(I) at $20, filed online like everything else. Older guides quote $10 (a stale figure) or $22 (the fee plus a card-processing add-on); the statutory fee is $20.
